What You’ll Do:
In this role, you’ll provide essential legal support for NADBank’s Mexico operations, including our subsidiary COFIDAN. You will be instrumental in ensuring that transactions are legally robust, compliant with Mexican regulations, and aligned with NADBank’s mission.
Key responsibilities include:
- Provide legal analysis and advice for matters related to NADBank’s Mexico operations, including COFIDAN.
- Review and interpret complex federal, state, and municipal regulations applicable to NADBank-financed projects in Mexico.
- Draft, review, and negotiate financing documentation, including loan agreements, guarantees, security instruments, and related contracts.
- Support legal due diligence on borrowers, collateral, regulatory requirements, and project documentation.
- Advise on Mexican public finance law, procurement rules, and regulatory conditions affecting project eligibility and execution.
- Coordinate with external counsel on structuring, legal opinions, and compliance with local law.
- Assist in the structuring of project finance transactions, including analysis of concessions, permits, and intergovernmental agreements.
- Manage amendments, contract administration, and legal matters related to the existing loan portfolio.
- Monitor legal and regulatory developments relevant to NADBank’s operations.
- Prepare legal memoranda, board materials, and internal analyses.
- Support operational needs of NADBank’s Ciudad Juárez office, including employment law and tax considerations.
- Manage powers of attorney essential for NADBank and COFIDAN representation.
- Travel as needed to support Mexico-based operations and project activities.
What You Will Need to Succeed:
Qualifications:
- Law degree (Licenciatura en Derecho) from an accredited Mexican institution; LL.M. or postgraduate legal studies preferred.
- Licensed to practice law in Mexico.
- 2–4 years of experience in project finance, banking, or public-sector transactions in a law firm or financial institution.
- Strong knowledge of Mexican public finance, lending frameworks, and secured transactions.
- Fluency in English and Spanish.
- Excellent drafting, negotiation, and analytical skills.
- Ability to manage multiple transactions in a fast-paced, multicultural environment.
- Familiarity with environmental infrastructure projects.
- Experience with development finance institutions is a plus.
- Exposure to international law or cross-border financing is desired.
